Terms Conditions

These Terms of Use (the “Terms”) govern your access to and use of the AudioLance platform, including the website, applications, and related services (collectively, the “Platform”). AudioLance is operated by AudioLance Ltd ("AudioLance", "we", "us", "our").


By accessing or using the Platform, you agree to be legally bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, do not use the Platform.


1. ABOUT AUDIOLANCE


AudioLance is an online marketplace dedicated to music, audio, and multimedia production services. The Platform connects independent professionals (“Sellers”) with clients (“Buyers”) for the delivery of creative services (“Projects”).


AudioLance is a neutral marketplace provider and is not a party to the contractual relationship between Buyer and Seller.


2. ELIGIBILITY AND ACCOUNTS


You must be at least 18 years old and legally able to enter into a binding contract to use the Platform.


You are responsible for:


maintaining the confidentiality of your login credentials;


all activity occurring under your account;


ensuring that all information you provide is accurate and up to date.


AudioLance reserves the right to suspend, restrict, or terminate accounts at its sole discretion, including for violations of these Terms, risk management, fraud prevention, or platform integrity.


3. MARKETPLACE MODEL


3.1 Projects


Sellers independently define:


scope of services;


pricing;


delivery timelines;


revision policies;


file formats and requirements.


A Project becomes binding once payment is successfully completed through the Platform.


3.2 Review Period and Acceptance


Upon delivery of Project files:


Buyers have three (3) days to review the delivery (“Review Period”);


Buyers may accept or raise an issue during this period;


If no action is taken, the Project is automatically accepted at the end of the Review Period.


Acceptance triggers release of funds to the Seller.


4. PAYMENTS, FEES, AND COMMISSIONS


4.1 Payment Processing


All payments must be made exclusively through the AudioLance payment system. Off-platform payments are strictly prohibited.


4.2 Seller Commission


AudioLance charges Sellers a commission on completed Projects:


10% standard commission;


5% commission for Pro Sellers or Sellers with an active subscription.


4.3 Buyer Service Fee


Buyers are charged a 5% service fee calculated on the Project price at checkout.


4.4 Escrow and Payouts


Buyer payments are held in escrow until Project acceptance;


Funds are released to Sellers after acceptance or automatic completion;


Payouts are processed via approved payment providers;


AudioLance does not guarantee payout timing due to third-party processor dependencies.


Fees are non-refundable once a Project is completed.


5. PROHIBITED CONDUCT


Users may not:


solicit or accept payments outside the Platform;


share external links, contact details, or redirection methods to bypass AudioLance;


scrape, data mine, or reverse engineer the Platform;


use bots or automated systems beyond normal browsing;


engage in fraud, impersonation, harassment, or abusive conduct;


misuse the Platform for unlawful purposes.


Attempts to circumvent platform fees may result in immediate account suspension or termination.


6. ARTIFICIAL INTELLIGENCE POLICY


6.1 Disclosure


Sellers must clearly disclose any use of artificial intelligence that materially affects:


originality;


voice or likeness;


ownership or licensing of deliverables.


6.2 Prohibited AI Uses


Users may not:


use AI to impersonate real persons without explicit consent;


use any content from AudioLance (including Projects, files, descriptions, or messages) to train, fine-tune, or operate AI or machine learning models, except where required by law.


AudioLance reserves the right to remove AI-generated content that violates these Terms.


7. INTELLECTUAL PROPERTY AND OWNERSHIP


7.1 Platform Content


All Platform software, branding, and materials are owned by AudioLance or its licensors.


7.2 Ownership of Project Deliverables


Unless otherwise stated in the Project description:


Upon full payment, the Buyer receives exclusive ownership of the final deliverables;


Sellers retain ownership of pre-existing materials, tools, templates, libraries, and know-how not expressly delivered.


If applicable law does not recognize work-made-for-hire, Sellers irrevocably assign all transferable rights in the deliverables to the Buyer.


Users are responsible for obtaining legal advice regarding intellectual property rights.


8. CANCELLATIONS AND REFUNDS


8.1 Cancellations


Projects may be cancelled by mutual agreement;


Sellers may cancel if unable to complete a Project;


Buyers may request cancellation only before delivery or in case of non-performance.


8.2 Refunds


Refund decisions are made at AudioLance’s discretion;


Service fees are non-refundable;


Refunds may be issued to platform balance or original payment method.


Chargebacks or payment reversals outside the Platform are prohibited.


9. DISPUTES


Disputes must be initiated through AudioLance’s internal resolution tools before Project completion.


Once a dispute is opened:


parties must cease direct communication;


AudioLance may review communications and deliverables;


mediation may take up to 21 days.


AudioLance is not liable for dispute outcomes.


10. DISCLAIMER AND LIMITATION OF LIABILITY


The Platform is provided “as is” and “as available.”


To the maximum extent permitted by law:


AudioLance disclaims all warranties;


AudioLance is not liable for indirect, incidental, or consequential damages;


Total liability shall not exceed the fees paid to AudioLance by the User in the previous twelve (12) months.


11. TERMINATION


AudioLance may suspend or terminate access at any time if a User violates these Terms or creates legal or operational risk.


12. GOVERNING LAW


These Terms are governed by the laws of England and Wales.


Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


13. MISCELLANEOUS


These Terms constitute the entire agreement between you and AudioLance;


Invalid provisions shall not affect remaining sections;


Failure to enforce any right is not a waiver;


Rights and obligations may be assigned by AudioLance.
